2. Enter the user name and password you want to use for future login. Then, click the 'Next' button. Note: User names and passwords must be between 6-16 characters long, and may consist of letters, numbers, and underscores.

3. Complete the registration information and submit it by clicking the 'Submit' button, as instructed on the second page.

PERSONALLY IDENTIFIABLE INFORMATION (PII) AGREEMENT


LeadsOnline operates a confidential database accessible electronically by authorized law enforcement agencies. In order to cooperate with official law enforcement investigations, Personally Identifiable Information (PII) of certain Pledgors, Sellers, and eBay Users will made available to authorized law enforcement agencies by Participants and eBay via LeadsOnline.

In order to receive PII via LeadsOnline, Principal (your law enforcement agency) must agree to the terms and conditions set forth below, and confirm your agreement to these terms by clicking "I Agree" at the bottom of this page.

For purposes of this Agreement, the following definitions will apply:

"Participant" means any person or entity that purchases pre-owned personal property and/or uses personal property as loan collateral and furnishes PII relative thereto to LeadsOnline for inclusion in LeadsOnline's database.

"Pledgor/Seller" means any person or entity pledging personal property to a Participant as loan collateral, or selling personal property to a Participant.

"eBay User" means a person or entity that has registered on www.eBay.com.

"Personally Identifiable Information (PII)" means a name, user name, identification number, company name, home street address, business street address, city, state, zip code, country, email address, home telephone number, business telephone number, or fax number of a Pledgor, Seller, or eBay User.

1. Source of PII. PII is limited to the information supplied to LeadsOnline by Participants and by eBay, which Participants and eBay receive from Pledgors/Sellers and eBay Users. Principal acknowledges that LeadsOnline makes no representations regarding the completeness or accuracy of any PII.

2. Delivery of PII. Upon acceptance of this Agreement and payment of any applicable fees, Principal may utilize LeadsOnline's service to retrieve PII. In the event Principal obtains PII from LeadsOnline, it will be bound by and subject to the terms and conditions of this Agreement with respect to any and all use of the PII obtained.

3. Permitted Use of PII. Principal agrees to use the requested PII in a lawful manner and solely in connection with an official criminal investigation.

4. Representations by Principal: Principal warrants and represents to LeadsOnline that: (a) Principal is an authorized official of a Law Enforcement Agency, meaning an agency staffed and operated by a municipal, county, state, or federal governmental entity whose primary purpose is criminal investigation and/or law enforcement; (b) Principal will not use the requested PII for any purpose other than expressly stated in this Agreement; (c) the information Principal provides to LeadsOnline is true and accurate; and (d) you have the requisite binding authority to enter into this Agreement on behalf of Principal.

5. Confidentiality. Principal agrees that the PII provided to it, as well as any usernames and passwords used to access PII, will be received and maintained in strict confidence by Principal. Principal will not use, disclose, or reproduce any PII in any manner except as provided herein. Principal agrees to restrict disclosure of PII to its employees and agents investigating the relevant Pledgors/Sellers and/or eBay User(s), and to advise such persons of their obligations of confidentiality and non-disclosure hereunder. Principal shall not disclose PII to any other third parties without the prior express written consent of LeadsOnline. If such consent is provided by LeadsOnline, Principal will advise such third parties of their obligations of confidentiality and non-disclosure hereunder. Principal may not sell, rent, or assign PII to any other third party. Principal agrees to afford any PII obtained from LeadsOnline with the same protections it affords other confidential information it maintains.

6. Copyright and Proprietary Information. All service components available on or via the LeadsOnline website, including but not limited to written materials, text, graphics, logos, software, databases, functionality, icons and images are the exclusive proprietary property of LeadsOnline or the respective author of such material and is protected under the United States Copyright Act, as well as by all applicable state and international copyright laws. The LeadsOnline database may be used solely for the purposes expressly provided for herein, and no aspect of the database may be downloaded or used for any other purpose whatsoever. Any other use will constitute an infringement upon the proprietary rights of LeadsOnline. Principal agrees not to utilize the unlimited use portions of LeadsOnline's web site for purposes of gathering PII for any third party, with the exception of providing other law enforcement agencies with information limited to that provided by Participants within Principal's jurisdiction.

7. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY
LEADSONLINE INC.'S DATABASE, INCLUDING ALL CONTENT, SOFTWARE, FUNCTIONS, MATERIALS AND INFORMATION MADE AVAILABLE ON OR ACCESSED THROUGH LEADSONLINE INC.'S WEB SITE, IS PROVIDED "AS IS" AND WITH ALL FAULTS. TO THE FULLEST EXTENT PERMISSIBLE BY LAW, LEADSONLINE INC. MAKES NO REPRESENTATION OR WARRANTIES OF ANY KIND WHATSOEVER FOR THE CONTENT OF THE LEADSONLINE INC. WEB SITE, OR THE MATERIALS, INFORMATION AND FUNCTIONS MADE ACCESSIBLE BY THE SOFTWARE USED ON OR ACCESSED THROUGH THE LEADSONLINE INC. WEB SITE, OR FOR ANY BREACH OF SECURITY ASSOCIATED WITH THE TRANSMISSION OF SENSITIVE INFORMATION THROUGH THE LEADSONLINE INC. WEB SITE. FURTHER, LEADSONLINE INC. SPECIFICALLY DISCLAIMS ANY REPRESENTATIONS, CONDITIONS, AND WARRANTIES, WHETHER EXPRESS OR IMPLIED, ARISING BY STATUTE, OPERATION OF LAW, USAGE OF TRADE, COURSE OF DEALING, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO, WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, SATISFACTORY QUALITY OR FITNESS FOR A PARTICULAR PURPOSE, INCLUDING THE CONDITION OF THE LEADSONLINE INC. SOFTWARE AND/OR SERVICE, THE CONFORMITY OF SAME TO ANY REPRESENTATION OR DESCRIPTION, AND/OR THE EXISTENCE OF ANY ERROR OR OTHER LATENT OR PATENT DEFECT. LEADSONLINE INC. DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE LEADSONLINE INC. WEB SITE OR ANY CONTENT CONTAINED THEREIN WILL BE UNINTERRUPTED OR ERROR FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE LEADSONLINE INC. WEB SITE OR THE SERVER THAT MAKES IT AVAILABLE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. LEADSONLINE INC. SHALL NOT BE LIABLE FOR THE USE OF THE LEADSONLINE WEB SITE, INCLUDING, WITHOUT LIMITATION, THE CONTENT AND ANY ERRORS CONTAINED THEREIN.

8. Governing Law and Choice of Forum. Agreement will be governed in all respects by the laws of the State of Texas. Both parties submit to personal jurisdiction in Texas and further agree that any cause of action arising under this Agreement will be brought exclusively in an appropriate court in Dallas, Texas.

9. Severability. Should any provision of this Agreement be held to be illegal, invalid, or unenforceable for any reason, the remaining provisions will continue in full force without being affected, impaired or invalidated in any way.

10. Waiver. Any waiver by LeadsOnline of a breach of any provision of this Agreement by Principal shall not operate or be construed as a waiver of any other or subsequent breach by Principal.

11. Entire Agreement. This Agreement sets forth the entire understanding and agreement between the parties, and supersedes all prior understandings concerning the subject matter of this Agreement.
